Welcome to MODDED. These Terms of Service ("Terms") govern your access to and use of the MODDED mobile application (the "App") operated by Manna Driven Investments LLC, a Vermont limited liability company doing business as MODDED ("MODDED," "we," "our," or "us"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
You must be at least 13 years of age to use the App. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the App, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.
To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@moddedapp.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that contain false or misleading information. One person may maintain only one account.
Ownership: You retain all ownership rights in the content you submit, post, or display through the App ("User Content"), including but not limited to photos, videos, text, vehicle build profiles, modification records, reviews, race results, and how-to guides.
License grant: By posting User Content, you grant Manna Driven Investments LLC a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, modify (for formatting and display purposes), and distribute your User Content solely in connection with operating, providing, promoting, and improving the App. This license continues until you delete your User Content or your account, except where your content has been shared with others and they have not deleted it.
Representations: You represent and warrant that you own or have the necessary rights and permissions to post your User Content and to grant the license described above, and that your User Content does not violate any third party's intellectual property rights, privacy rights, or any applicable law.
You agree not to use the App to post, transmit, or share content that:
We reserve the right, but are not obligated, to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.
MODDED is a community for car enthusiasts. We expect all users to engage respectfully. Harassment, hate speech, bullying, threats, and discrimination of any kind are strictly prohibited and may result in immediate account suspension or termination. Community moderators and MODDED administrators have the authority to remove content and restrict or ban accounts that violate these standards at their sole discretion.
The App, including its design, code, features, graphics, logos, and branding (collectively, "MODDED Property"), is owned by Manna Driven Investments LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on any MODDED Property without our prior written consent.
The App may feature or reference automotive shops, parts brands, products, or services. MODDED does not manufacture, sell, endorse, guarantee, or warrant any third-party product, service, or business listed on or referenced through the App. Any transactions, interactions, or disputes between you and any third party are solely between you and that third party. MODDED shall not be liable for any loss, damage, or claim arising from such interactions.
Race results, horsepower figures, modification details, and other performance data shared on the App are user-submitted and are not independently verified by MODDED unless explicitly marked as such. MODDED makes no representations or warranties regarding the accuracy, completeness, or reliability of any performance claims made by users.
IMPORTANT: MODDED does not encourage, condone, or facilitate illegal racing on public roads. Automotive modifications, racing, and related activities carry inherent risks of property damage, personal injury, and death. You acknowledge that you engage in such activities at your own risk. Any information, guides, or techniques shared through the App are for informational purposes only and should not be relied upon as a substitute for professional advice. Always consult qualified professionals for vehicle work and obey all applicable laws.
You agree to indemnify, defend, and hold harmless Manna Driven Investments LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the App; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any damage, injury, or loss resulting from automotive modifications, racing, or activities discussed on or inspired by content on the App.
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.
MODDED DISCLAIMS ALL LIABILITY FOR ANY DAMAGE, INJURY, OR LOSS ARISING FROM: (A) AUTOMOTIVE MODIFICATIONS PERFORMED BASED ON INFORMATION FOUND IN THE APP; (B) RACING OR OTHER PERFORMANCE-RELATED ACTIVITIES; (C) RELIANCE ON USER-SUBMITTED PERFORMANCE DATA; OR (D) INTERACTIONS WITH OTHER USERS OR THIRD-PARTY BUSINESSES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANNA DRIVEN INVESTMENTS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU PAID TO MODDED, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of Vermont. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
You agree that any dispute resolution proceeding will be conducted on an individual basis and not as a class action, class arbitration, or any other representative proceeding. You waive any right to participate in a class action lawsuit or class arbitration against MODDED.
We reserve the right to suspend or terminate your account and access to the App at any time, with or without cause, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the community, or is otherwise inappropriate. You may terminate your account at any time by contacting us at hello@moddedapp.com. Upon termination, your right to use the App ceases immediately. Sections 3 (License grant), 9, 10, 11, 12, and 15 shall survive any termination of these Terms.
We may modify these Terms at any time. If we make material changes, we will notify you through the App or by other appropriate means. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the App and delete your account.
These Terms shall be governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to its conflict of law provisions.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Manna Driven Investments LLC regarding your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral.
